Introduction#

These Terms of Service ("Terms") govern your use of the Silverthread Labs website at silverthreadlabs.com ("Site") and your engagement with Silverthread Labs ("we", "us", "our") as a service provider. Please read them carefully. If you do not agree with these Terms, do not use our Site or engage our services.

Acceptance of Terms#

By accessing or using our Site, submitting an inquiry, or entering into a service engagement with Silverthread Labs, you confirm that you have read, understood, and agreed to these Terms.

If you are using our Site or engaging our services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

Use of Our Website#

Our Site is provided to give you information about who we are and what we do, and to allow you to contact us about potential projects.

Permitted Use#

You may use our Site for its intended purposes: learning about Silverthread Labs, reading our published content, and reaching out about potential projects. You may not reproduce, distribute, or commercially exploit any content from our Site without our written permission.

Prohibited Conduct#

You agree not to use the Site in ways that:

  • Violate any applicable law or regulation.
  • Introduce malware, viruses, or any code designed to disrupt or damage the Site or its users.
  • Attempt to gain unauthorized access to any part of the Site, our servers, or any system connected to the Site.
  • Scrape, crawl, or harvest content from the Site for commercial purposes without our written consent.
  • Impersonate Silverthread Labs or any of our team members.

Intellectual Property#

Our Content#

All text, graphics, logos, code samples, service descriptions, and other materials published on silverthreadlabs.com are owned by Silverthread Labs or our licensors and are protected by copyright and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from this content without our express written permission. Limited quotation for commentary, criticism, or educational purposes is permitted provided you attribute the source.

Your Content and Submissions#

When you submit an inquiry, brief, or project-related materials to us, you retain ownership of that content. By submitting it, you grant us a limited right to use, review, and reference that material for the sole purpose of responding to your inquiry and scoping or delivering the work you have requested. We do not use client-submitted materials for marketing purposes without explicit consent.

Ownership of Deliverables#

All intellectual property and source code produced during a service engagement remain the property of Silverthread Labs until full payment has been received. Upon receipt of final payment, all rights, including source code, transfer to the client unless otherwise specified in a written agreement.

Project Scope and Deliverables#

All project work is governed by a written agreement specifying scope, milestones, deliverables, timeline, and payment terms. Work begins only after this agreement is signed. Verbal commitments, email threads, or inquiry conversations do not constitute a binding service agreement.

We deliver strictly against the agreed milestones. Anything not explicitly included in the milestones is considered out of scope. Services are limited to what is specified in the project agreement.

Each milestone includes a defined review period. Once that review period closes without written objection, the milestone is considered accepted. After all milestones are accepted, the project is considered complete.

Where clients provide design assets or specifications, we may make adjustments necessary for development feasibility while preserving the core intent of the original design.

Changes and Additional Work#

Additional features, functionality, or scope beyond the original agreement require a separate written agreement with its own cost and timeline.

Revisions to accepted milestones must be requested in writing and may incur additional charges. Significant changes may also require a revised project timeline.

Communication and Feedback#

Timely feedback is essential to keeping projects on schedule. Clients are expected to provide feedback within the review periods defined in the project agreement. Delays in feedback may result in additional costs or extended timelines.

Once designs are approved in writing, that approval signals readiness for development. Design changes requested after written approval are considered out of scope and will require a separate agreement.

Warranty and Maintenance#

We provide a one-month bug fix warranty following delivery of the final project. This warranty covers defects within the originally agreed scope.

This warranty does not cover maintenance. Maintenance includes, but is not limited to, changes caused by third-party platform updates, API modifications, external dependency changes, or shifts in the operating environment after delivery.

Ongoing maintenance services are available under a separate agreement at additional cost.

Confidentiality#

Both parties agree to treat all information shared during a project engagement as confidential. Neither party will disclose confidential information to third parties without prior written consent, except where required by law.

Confidentiality obligations survive for one year following the completion of a project.

Termination#

Either party may terminate a service engagement with written notice if the other party commits a significant breach of the project agreement.

If the client breaches the agreement, the client is responsible for payment covering all work completed up to the date of termination.

If we breach the agreement, the client is not responsible for incomplete work and will receive a refund for any services paid for but not delivered.

Discussions about potential projects may be ended by either party at any time before a written agreement is signed, with no obligation.

Disclaimers and Limitation of Liability#

Website Disclaimer#

Our Site is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the accuracy, completeness, or reliability of the information on our Site. We may update, modify, or remove content without notice. We do not warrant that the Site will be available at all times, free of errors, or free from security vulnerabilities.

Service Disclaimer#

AI systems, automation workflows, and software built by Silverthread Labs are custom-engineered for specific use cases. We do not guarantee that any system we build will meet expectations beyond what is defined in writing, integrate with all future third-party platforms, or perform without errors indefinitely after delivery.

Limitation of Liability#

To the fullest extent permitted by law, Silverthread Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Site or our services, including but not limited to loss of profits, data, business interruption, or business opportunities.

Our total liability for any claim related to a specific project shall not exceed the total amount paid by you to Silverthread Labs for that project in the 12 months preceding the claim.

Some jurisdictions do not allow these limitations on liability, so they may not apply to you in full.

Indemnification#

Client indemnification. You agree to indemnify and hold Silverthread Labs harmless from any claims, damages, or expenses arising from your use of delivered products or from content, materials, or data you provide to us during a project engagement.

Our indemnification. We agree to indemnify and hold you harmless from any claims that work we deliver infringes on a third party's intellectual property rights.

Subcontracting#

Silverthread Labs may engage qualified third-party subcontractors to assist with project work. We remain fully responsible for the quality and delivery of all work, regardless of whether it is performed by our internal team or by subcontractors. Clients will be notified of any material subcontracting arrangements.

Force Majeure#

Neither party shall be liable for failures or delays caused by events beyond reasonable control, including but not limited to natural disasters, government actions, internet outages, or infrastructure failures. The affected party must notify the other party promptly and take reasonable steps to mitigate the impact.

Our Site may contain links to third-party websites, tools, or services. These links are provided for reference only. Silverthread Labs does not control third-party sites and is not responsible for their content, privacy practices, or terms. Following a third-party link takes you outside our Site, and you do so at your own risk.

Governing Law#

These Terms are governed by the laws of the jurisdiction in which Silverthread Labs is domiciled, without regard to conflict-of-law principles. Any legal action arising from these Terms or your use of our Site must be brought in a court of competent jurisdiction in that same jurisdiction.

Severability#

If any provision of these Terms is found to be unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.

Changes to These Terms#

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page. Continued use of our Site after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
